TERMS AND CONDITIONS

AUTHENTICATION AND AUTHORIZATION FOR SERVICE USAGE The My Account Electronic Bill Payment Service incorporates commercially reasonable methods to authenticate the information that you have supplied for making a payment through the My Account Electronic Bill Payment Service. You will not be able to submit a payment until the My Account Electronic Bill Payment Service authenticates you and you will not be allowed to use the My Account Electronic Bill Payment Service to pay your utility bill until you have read these Terms and Conditions and have acknowledged you accept them. By accepting these Terms and Conditions, you authorize the MLGW My Account Electronic Bill Payment Service to initiate a charge to the account that you have stored in your My Profile "Methods of Payment". Each time you use the My Account Electronic Bill Payment Service to pay your MLGW account, you will be re-authorizing us to charge the account you select from your My Profile "Methods of Payment" By accepting these Terms and Conditions, you represent and warrant that: You are 18 years old or older; You are using your actual identity and any information you provide is accurate and complete; You are legally authorized to make payments using the account(s) you have stored in your My Profile "Methods of Payment"; You have read and agreed to our Privacy Policy; and Your use of the Service will not violate any local, state, or national laws or regulations.

AUTHORIZATION AGREEMENT FOR STORAGE OF BANK ACCOUNT INFORMATION By accepting these Terms and Conditions, you authorize the storage of banking information you enter in your My Profile "Methods of Payment". You represent and warrant that you are legally authorized to use the bank account(s) that you enter.

AUTHORIZATION AGREEMENT FOR STORAGE OF CREDIT CARD, and DEBIT CARD INFORMATION By accepting these Terms and Conditions, you authorize the storage of Credit card or Debit card information you enter in your My Profile "Methods of Payment". You represent and warrant that you are legally authorized to use the Credit or Debit card account(s) that you enter.

PAYMENT AUTHORIZATION By providing MLGW with the account information for your My Profile "Methods of Payment", you authorize MLGW to follow the payment instructions we receive from you through the My Account Electronic Bill Payment Service. When you use the My Account Electronic Bill Payment Service to send MLGW a payment instruction, you authorize MLGW to initiate a message to your bank or credit card provider to charge the account you indicated from your My Profile "Methods of Payment" and to send those funds to MLGW for payment.

AUTHORIZATION AGREEMENT FOR DIRECT PAYMENTS (ACH DEBITS) By accepting these Terms and Conditions, you authorize MLGW to initiate ACH debit entries for the amount(s) specified, to the checking or savings account(s) you indicate, at the depository financial institution(s) you indicate. You agree that the origination of ACH transactions to your checking or savings account(s) must comply with the laws of the United States of America.

AUTHORIZATION AGREEMENT FOR MLGW TO TERMINATE PRINTING and MAILING BILL If you choose to discontinue receiving your paper bill, you will be enrolled in MLGW's paperless billing service that will terminate your monthly printed MLGW bill. You will receive email notifications when your MLGW bill is available on the MLGW My Account web site. You are responsible for providing and updating your email address to receive regular email notification from MLGW. Failure to provide a current email address will delay or prevent delivery of notification that your bill is available for viewing online; however, your obligation for payment and the payment due date will remain unchanged. Any notices for utility service discontinuation or service termination would continue to be sent via postal delivery.

AUTHORIZATION AGREEMENT FOR RECURRING PAYMENTS (AUTOMATIC PAYMENT RULES) If you elect to set up recurring payments, you authorize MLGW to initiate debit entries (ACH debit for checking or savings) using the payment method specified in the My Payments "Automatic Payment Rules" and to credit the MLGW account you indicate. The automatic payment rule will remain in effect for the time period you indicate unless you delete the automatic payment rule prior to the "End Date" Specified in the automatic payment rule. Memphis Light, Gas and Water, a division of the City of Memphis, is a municipal utility company and a subdivision of the State of Tennessee. All services provided by MLGW are provided pursuant to its then current credit and/or customer care policies, electric, gas and water service policies and any and all policies, rates, rate schedules and fee schedules adopted by the Board of Commissioners of Memphis Light, Gas and Water.These terms of service will be binding on you and your successors and assigns and will be governed by the laws of the State of Tennessee. Any actions arising out of or related to the service or services provided to you by MLGW shall be brought in the courts of the State of Tennessee located within Shelby County, Tennessee or within a federal court located in Shelby County, Tennessee.

ALTERATIONS AND AMENDMENTS These Terms and Conditions may have been altered or amended from the last time you used the My Account Electronic Bill Payment Service so be sure to read it each time before you make a payment to be certain you still agree with its provisions. Your use of the My Account Electronic Bill Payment Service after any changes to these Terms and Conditions will constitute your agreement to such change(s). These Terms and Conditions are the complete and exclusive statement of the agreement regarding the Services between you and MLGW. It supersedes any proposal or prior agreement, oral or written, and any other communications between you and MLGW relating to the My Account Electronic Bill Payment Service. If there is a conflict between what an MLGW employee tells you and the terms of this document, these Terms and Conditions will prevail. You should print and retain this document for safekeeping and reference at any time during usage of the Service.
